These Terms and Conditions ("Terms") govern your use of the website https://sonextyear.online (the "Site") and the generative AI design platform and related services (collectively, the "Services") provided by So Next Year Ltd ("we," "us," or "our"), a company registered in England and Wales. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

To access certain features of the Services, you must register for an account. 3. AI Transparency & Data Privacy

  • Generative AI Technology: Our Services utilize advanced generative AI models to assist your creative workflow. You acknowledge that AI output is probabilistic, and we do not guarantee uniqueness or fitness for a specific purpose.

  • Privacy Commitment: To protect your creative integrity, So Next Year Ltd explicitly does not use your private prompts, uploaded assets, or generated Output to train our foundational AI models. Your account, private storage, and generated pattern collections remain entirely private and secure.

4. Intellectual Property Rights & User Responsibility

  • Your Input: You retain all ownership rights to any text prompts, images, or other data you upload or submit to the Services ("Input"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your Input solely for the purpose of providing the Services to you.

  • AI-Generated Output: Subject to your full compliance with these Terms and payment of all applicable fees, we hereby assign to you all of our right, title, and interest in and to the design assets generated by the Services based on your Input ("Output").

  • Sole User Responsibility: You are solely responsible for ensuring that your Input and subsequent use of any Output comply with all applicable laws. You must ensure your use does not infringe upon the intellectual property, copyright, or proprietary rights of any third party. So Next Year Ltd assumes absolutely no responsibility or liability for claims of copyright infringement, intellectual property theft, or the creation of harmful, malicious, or unlawful designs arising from User-generated content.

  • Our IP: The Site, Services, and their entire underlying technology (including software, algorithms, UI, and designs, excluding your Input and Output) are owned by So Next Year Ltd and are protected by copyright, trademark, and other intellectual property laws.

5. Acceptable Use & Fair Use Policy

You agree not to use the Services for any of the following prohibited actions:

  • Unlawful & Harmful Content: To generate content that is unlawful, harmful, threatening, abusive, defamatory, obscene, malicious, or otherwise objectionable.

  • Copyright Violation: To infringe upon the intellectual property rights or other proprietary rights of any party, or to use the Services for any commercial purpose that relies on such infringement.

  • Platform Abuse: To reverse engineer, decompile, disassemble, or automate access via bots, scrapers, or unauthorized scripts.

  • Usage Limits: To exceed any usage limits or quotas applied to your subscription tier, or to engage in high-volume automated requests that exceed reasonable human usage as determined by So Next Year Ltd.

  • Enterprise Fair Use: Enterprise users are granted usage quotas commensurate with their subscription tier. Usage that significantly deviates from standard professional patterns (e.g., industrial-scale automated asset extraction) will be deemed a violation of these Terms.

6. Fees and Payment

Access to certain Service tiers requires payment of fees. All fees are stated in GBP and are non-refundable except as required by law. We reserve the right to change our pricing tiers at any time, upon notice to you.

7. Disclaimers and Limitation of Liability

THE SERVICES AND ALL OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

  • Zero-Tolerance Policy: We reserve the right to immediately terminate or suspend your account if we determine, at our sole discretion, that you are using bots, scrapers, or engaging in the unlawful use of our intellectual property or the intellectual property of third parties. We are not liable for any loss of data or access resulting from such termination.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
